These Terms govern your access to and use of the PHINS platform, including our website, web portals, mobile applications, APIs, and all related services (collectively, the "Platform").
By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional terms applicable to specific services you use (such as insurance policy terms, investment agreements, or supplier contracts). These additional terms are incorporated by reference.
If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you are authorized to bind that entity and its affiliates to these Terms, in which case "you" and "your" shall also refer to that entity.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:
PHINS is not liable for losses arising from unauthorized use of your account where you have failed to maintain account security.
PHINS may require identity verification (including know-your-customer (KYC) checks, document verification, and biometric authentication) before granting access to certain services. You consent to these verification procedures as a condition of using the Platform.
Insurance products are offered in compliance with applicable insurance laws and regulations in each jurisdiction. Availability of specific products may vary by jurisdiction, and some products may not be available in all regions.
Before providing investment recommendations, PHINS will assess your investment objectives, risk tolerance, financial situation, and experience. You agree to provide accurate and complete information for this assessment and to update it when your circumstances change materially.
PHINS will disclose material conflicts of interest in connection with investment services. We maintain policies and procedures to identify, manage, and, where necessary, avoid conflicts of interest.
PHINS is not a healthcare provider, medical practice, or licensed medical professional. Health-related features of the Platform, including wellness assessments, health risk scores, and preventive care recommendations, are informational and educational in nature and do not constitute medical advice, diagnosis, or treatment.
PHINS may connect you with third-party healthcare providers through our supplier marketplace. PHINS does not practice medicine, employ the healthcare providers listed on the marketplace (unless explicitly stated), or guarantee the quality of care provided by third-party providers. Your relationship with a healthcare provider accessed through the Platform is a direct relationship between you and that provider.
The Platform is not designed for medical emergencies. If you are experiencing a medical emergency, call your local emergency services immediately.
Health data collected and processed by the Platform is handled in accordance with our Privacy Policy and applicable health data protection laws, including HIPAA where applicable.
Suppliers registered on the PHINS marketplace agree to:
Platform commission rates, settlement terms, and payment schedules are governed by the Supplier Agreement executed upon marketplace registration. PHINS reserves the right to modify commission structures with advance notice as specified in the Supplier Agreement.
PHINS acts as a marketplace facilitator and does not guarantee the availability, quality, or outcomes of services provided by third-party suppliers. Disputes between users and suppliers should first be addressed directly between the parties, with PHINS mediation available through our dispute resolution process.
You agree not to use the Platform to:
PHINS reserves the right to investigate, suspend, or terminate accounts and take legal action for violations of these prohibitions.
The Platform, including its software, algorithms, AI models, user interface, design, text, graphics, logos, icons, images, audio, video, data compilations, and underlying technology, is owned by or licensed to PHINS and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purposes in accordance with these Terms. This license does not include the right to:
You retain ownership of content you submit to the Platform (such as claim documentation, medical records, or financial documents). By submitting content, you grant PHINS a non-exclusive, worldwide, royalty-free license to use, process, store, and transmit such content as necessary to provide the requested services, comply with legal obligations, and improve our services (using de-identified or aggregated data).
If you provide feedback, suggestions, or ideas about the Platform, you grant PHINS an unrestricted, irrevocable, worldwide, royalty-free right to use, modify, and incorporate such feedback for any purpose without obligation or compensation to you.
Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes how we collect, use, share, and protect your personal data, including health data, financial data, and data processed by AI systems.
By using the Platform, you acknowledge that you have read and understood our Privacy Policy and consent to the data practices described therein, to the extent that consent is the applicable legal basis for processing.
PHINS strives to maintain continuous Platform availability but does not guarantee uninterrupted, error-free, or secure access. The Platform may be temporarily unavailable due to maintenance, upgrades, technical issues, or circumstances beyond our control.
This disclaimer does not affect your statutory rights as a consumer or policyholder under applicable law, which cannot be excluded or limited by contract.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
Nothing in these Terms limits or excludes PHINS's liability under any insurance policy issued to you. Insurance policy terms, coverage, and claims are governed by the applicable insurance contract.
To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless PHINS and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:
These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to conflict of law principles, except where overridden by mandatory consumer protection laws of your jurisdiction of residence.
We encourage you to contact us first to resolve any disputes informally. If a dispute cannot be resolved informally within thirty (30) days, the following applies:
For users in the United States, any dispute arising from or relating to these Terms or the Platform shall be resolved by binding arbitration administered by a recognized arbitration institution, rather than in court, except that either party may seek injunctive or equitable relief in court for intellectual property matters. The arbitration shall be conducted in English in New York, New York. Class action waivers apply to the maximum extent permitted by law.
For users outside the United States, disputes shall be subject to the exclusive jurisdiction of the competent courts of New York, New York, except where mandatory consumer protection laws of your jurisdiction require that disputes be resolved in your local courts. Nothing in these Terms limits your right to bring proceedings in the courts of your country of residence if required by applicable law.
Disputes arising from insurance policies (including coverage disputes and claims) are governed by the terms of the specific insurance policy and applicable insurance law, which may provide for regulatory complaints, ombudsman services, or other dispute resolution mechanisms. These Terms do not override or limit your rights under insurance-specific dispute resolution frameworks.
You may terminate your account at any time by contacting PHINS or using the account settings feature. Termination of your account does not relieve you of obligations under active insurance policies, investment agreements, or outstanding financial obligations.
PHINS may suspend or terminate your access to the Platform immediately if:
Upon termination, your right to access the Platform ceases. However, the following survive termination: active insurance policy obligations, outstanding financial obligations, indemnification obligations, limitations of liability, intellectual property provisions, and dispute resolution provisions. Your data will be retained as described in our Privacy Policy.
PHINS shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, epidemics, pandemics, war, terrorism, civil unrest, government actions, power failures, internet disruptions, cyberattacks, or failures of third-party service providers.
PHINS reserves the right to modify these Terms at any time. When we make material changes, we will:
Your continued use of the Platform after the effective date of modified Terms constitutes your acceptance of the changes. If you do not agree with the modified Terms, you must discontinue use of the Platform.
Severability: If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
Waiver: The failure of PHINS to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of PHINS.
Entire Agreement: These Terms, together with the Privacy Policy and any applicable service-specific agreements (including insurance policy terms, investment agreements, and supplier agreements), constitute the entire agreement between you and PHINS regarding your use of the Platform.
Assignment: You may not assign or transfer these Terms or your account without our prior written consent. PHINS may assign these Terms in connection with a merger, acquisition, or sale of substantially all of its assets.
